1. The Rulebook
This rulebook is a guide document which is valid for all stages of the Marvel Snap: Golden Gauntlet (“Tournament” or “Marvel Snap: Golden Gauntlet”). Marvel Snap: Golden Gauntlet is a competition for Marvel Snap hosted by Second Dinner Studios, Inc., a Delaware corporation having its principal place of business at 1920 Main Street, Suite 880 Irvine, CA 92614 (“SECOND DINNER”), and its affiliates (collectively, the “Administration”).
These Marvel Snap: Golden Gauntlet Official Rules (these “Official Rules”) form a contract between all participants on the one hand (“Participant(s),” “Player(s)” or “you”), and the Administration on the other hand. These Official Rules establish the general rules of tournament play, including but not limited to rules governing Player eligibility, tournament structure, points structure, prize awards, and Player conduct.
These Official Rules also contain limitations of liability, license grants, and other legally binding contractual terms. Each Participant is required to read, understand, and agree to these Official Rules before participating in the Tournament.
THESE OFFICIAL RULES AND ALL DISPUTES RELATED TO OR ARISING OUT OF YOUR PARTICIPATION IN THE TOURNAMENT ARE GOVERNED BY A BINDING ARBITRATION CLAUSE IN SECTION 11 AND A WAIVER OF CLASS ACTION RIGHTS. THAT CLAUSE AFFECTS YOUR LEGAL RIGHTS AND REMEDIES, AND YOU SHOULD REVIEW IT CAREFULLY BEFORE ACCEPTING THESE OFFICIAL RULES.

1.1 Rule Changes
In its sole discretion, the Administration (a) may update, amend or supplement these Official Rules from time to time; and (b) may interpret or apply these Official Rules by releasing bulletins, notices, explanatory videos, online postings, e-mail and/or other electronic communications that provide instructions and guidance to participants. The Administration also reserves the right to make a judgment on cases that are not explicitly outlined, or detailed, in this rulebook, as well as make judgments that depart from this Rulebook in extreme cases, to preserve fair play and sportsmanship.
Any material changes to these Official Rules will be provided to the Participants prior to the next event in which the changed rules will apply. Participation in a subsequent event will constitute acceptance of the changed rules.
1.2 Game/Patch Version
Matches will be played online on the most recent patch in the Game. All Players must have downloaded and installed the most recent version of the Game prior to the start of the event.
2. Player Registration & Eligibility
Individuals that wish to participate in the Tournament will need to complete the signup process as outlined via Discord and will fill out the google forms registration application for Marvel Snap: Golden Gauntlet. Participants are agreeing to follow all rules and requirements outlined by this document.
All open registration spots will be assigned by a random raffle drawing, of qualified applicants, to participate in Marvel Snap: Golden Gauntlet.
Chosen players will be notified by email that their application was approved and they were selected to participate in Marvel Snap: Golden Gauntlet after the drawing has concluded.
To be able to compete in the Tournament, a Participant must:
- Be over the age of seventeen (17) prior to the date of roster lock in the jurisdiction. If, prior to the date of the first day of competition in the Eligible Jurisdiction, the Player is under the age of majority in the country of citizenship, Player must have written permission from a parent or guardian to participate in the Tournament.
- Agree to be bound by these Official Rules and the decisions of the Administration; and
- Comply with all laws of the Eligible Jurisdiction in which such Player is a resident, as well as the Eligible Jurisdiction in which such Player is competing, including, if necessary, by obtaining any necessary visa(s) or other governmental authorization required for such Player’s participation in the Tournament.
- Not be a director, officer, employee, or relative of an Administration employee, or any entity which controls, is controlled by, or is under common control with the Administration unless the Administration has been notified of and has expressly authorized such relationship in writing.
- Not be an employee of Marvel, The Walt Disney Company, and their affiliates unless the Administration has been notified of and has expressly authorized such relationship in writing.
Players may only participate in the Tournament as long as their participation does not violate applicable local laws and/or any federal, state and local laws of the United States, including any such laws applicable to jurisdictions outside the United States. Players are responsible for ensuring that their participation in the Tournament is compliant with all laws of the jurisdiction(s) in which they are a resident, and Players must take all steps necessary to ensure such compliance. Notwithstanding anything to the contrary contained herein, the Administration shall have the right in its sole and absolute discretion to determine the eligibility of any and all Participants. Players acknowledge and agree that your eligibility status as determined by the Administration may change at any time and that such determination shall be final and binding.
Players must use an acceptable Player name in any Tournament affiliated competition. The Administration reserves the right to revoke the eligibility of any Player whose name is offensive, toxic, incorporates any SECOND DINNER or third-party intellectual property, or is otherwise deemed to be inappropriate or unacceptable by the Administration, to be determined in the sole discretion of the Administration. By way of example:
- Player names may not include a sponsor name.
- Player names may not contain a personal or political message.
- Player names may not include a product name or description.
- Player names may not include any vulgar or offensive language or any racial or ethnic slurs.
- Player names may not include references to any violent or sexual acts.
- Player names shall not include celebrity names or monikers.
- Player names must comply with these Official Rules.
Penalties for changing your name in game anytime in between after the name submission on your application is closed and the end of the event will be at the sole determination of the Administration up to and including disqualification from the event.
3. Tournament Format
The tournament will consist of 2 stages:
- Open Swiss Stage
- Bracket Stage
For more information on each stage’s format, look in sections 3.3 – 3.4.
3.1 MARVEL SNAP: Golden Gauntlet Vocabulary
The vocabulary of the event goes as follows:
- Game – One Marvel SNAP game within a single Conquest Match.
- Conquest Match – The way players face off against their opponents. More explained in 3.1.1
- Tournament Round – When players are paired up to face off against each other in the tournament.
- Open Swiss Stage – The stage where players compete to qualify for the Bracket Stage.
- Bracket Stage – The Bracket Stage is where the top eight (8) players will compete in a single elimination bracket.
3.1.1 Conquest Match
A Conquest Match consists of multiple, individual games of Marvel Snap. Played using the “Friendly Battle” feature in the game. Each player starts with 10 cubes, and at the end of each game, players lose wagered cubes by retreating or losing rounds. A Conquest Match ends when one player has no cubes left to wager.
Players lock in a deck at the start of each Conquest Match and use the same deck throughout the games within the same Match.
3.2 Deckbuilding Format/Requirements
For Marvel SNAP: Golden Gauntlet all players will submit one deck to use throughout the entirety of the tournament. Decks may consist of any cards currently unlocked on their accounts, with the exception of any cards that are globally banned (see section 3.5).
The tournament will have open deck lists. This means players will be able to see their opponent’s decks throughout the event.
3.3 Open Swiss Stage
Open Swiss means that players will continue to play consecutive Tournament Rounds no matter if they win or lose. For round one (1), players will be randomly seeded, and matched up for a single Conquest Match. Starting in round two (2), players will automatically be paired against another player with a similar match record.
There will be a total of nine (9) Open Swiss rounds before a top cut is made for players with the highest accumulated points throughout the tournament.
Tournament Rounds will be best of one conquest matches. The player who takes all of their opponent’s cubes will be the winner of the Tournament Round.
3.3.1 Match Points and Ranking
Players will earn three (3) points for winning and zero (0) points for a losing in a Tournament Round. In the case of a draw, both players will earn one (1) point (see section 3.3.4.1 for intentional draws).
In the case of a player being given a bye during a round they will receive the same amount of points as a player winning their match.
Tiebreakers will determine the player ranking among those with the same number of accumulated points. Opponent win percentage (OW%) will be used for the first tiebreaker and accumulated Cubes will be used for the second tiebreaker.
In the case of an exact tie between players, into the top cut, after round 9, the tied players will face off in a single Conquest Match to determine the player who advances.
3.3.2 Player Tournament Check-in
Player tournament check-in will start one (1) hour before the tournament begins and close thirty (30) minutes before the tournament begins. Players that do not check in during this time may be replaced by an alternate and be unable to complete in Marvel Snap: Golden Gauntlet.
3.3.3 Player Match Communication
Players will use the Topdeck.gg individual game chat in app feature to coordinate their matches.
Once pairings are posted, for a new Tournament Round, players will find their individual game chat under the “Your Round” tab on the Marvel Snap: Golden Gauntlet bracket page on Topdeck.gg.
Players will check into their individual Tournament Round chats within five (5) minutes of the start for each match. Players will check into each round by selecting the “check in” button in their match chat. Players that do not check in by the beginning of the sixth (6th) minute of the Tournament Round will receive a Match Loss. Players that do not check into their round before the beginning of subsequent rounds may be dropped from the event.
3.3.4 Reporting Round Results
Topdeck.gg has a self-reporting feature within their individual game chats. When the Tournament Round is complete players will submit their results and confirm their opponent submitted the same results. The player chat will be primarily used to confirm contested results. Discord chat may be used if tournament staff would like to speak to players individually or if players would like to provide any screenshots. It is HIGHLY encouraged that you take a screen recording of the game or screenshot of the results each match. This will be the best way to verify results. Please contact tournament staff (by using the “call judge” feature in your chat) immediately if you have any disputed results.
If one player records their match results on Topdeck.gg and the other player does not confirm the results, the recorded results will be used.
3.3.4.1 Intentional Draws
Players may not intentionally draw their matches. Intentionally drawing a match will be considered Collusion and subject to penalty. Draws may be used by tournament staff as needed to keep the tournament on schedule.
3.3.5 Player Disconnection During Match
If a player disconnects from Marvel Snap during a match the disconnecting player may request a rematch without staff involvement. Players can concede back to the gamestate that most accurately matches the point when the disconnect happens. The disconnected game counts as a concession from the disconnecting player. This is to avoid intentional disconnection before losing. Please be advised that it is 100% up to the non-disconnected player to agree to a rematch without staff involvement. A player may present recorded gameplay or screenshots to the tournament staff if their opponent does not agree to a rematch. If the tournament staff can determine that the game crashed then the players may be asked to play again, resetting back to the gamestate that most accurately matches the point when the disconnect happened.
Example of how to reset a game to the most accurate gamestate: Chad has a total of 8 cubes and Nick has a total of 6 cubes. The game is currently in high stakes (game starts cube wager at 2 cubes). Chad has snapped once causing the current cube wager to be 4 cubes. Chad’s game crashes and he has disconnected. The current game counts as a concession from Chad losing them 4 cubes. Players will need to reset the game to a total of 4 cubes for Chad and 6 cubes for Nick and start playing in high stakes. Players can generate a new game, select the same decks, and join the Conquest Match. Round one (low stakes) Chad can snap, increasing the cube wager to 2 cubes. Next turn Chad can concede (Chad at 8 cubes). Round two (low stakes) Nick can snap, increasing the cube wager to 2 cubes. Next turn Nick can concede (Nick at 8 cubes). Round three (low stakes) Nick can snap, increasing the cube wager to 2 cubes. Next turn Nick can concede (Nick at 6 cubes). Round four high stakes Chad can snap, increasing the cube wager to 4 cubes. Next turn Chad can concede (Chad at 4 cubes). From this point the game is reset to the most accurate gamestate and players may continue playing like normal.
3.3.6 Dropping from the Tournament
Players may drop from the tournament at any time. To do so use the drop feature on Topdeck.gg. Dropping before the following round posts will prevent players from being paired against an opponent for the rest of the event.
3.4 Bracket Stage
The Bracket Stage will be an 8 person, single elimination bracket. All matches will be Best of one (1) and played via Conquest Matches. There will be 5 different rounds of play. All matches within a Round will start at the same time which will be announced by the Admin Team. Here’s the order in which matches will be played:
- Round 1: Quarter Finals 1 & 2 (2 matchups)
- Round 2: Quarter Finals 3 & 4 (2 matchups)
- Round 3: Semifinal 1 (1 matchup)
- Round 4: Semifinal 2 (1 matchup)
- Round 5: Finals (1 matchup)
The Bracket Stage will follow all of the same rules as the Open Swiss Stage with the exception of being single elimination.
3.4.1 Seeding
Players will be seeded into the single-elimination bracket according to their final rankings from the Open Swiss Stage. The top-ranked player will be matched against the eighth-ranked player, the second-ranked player against the seventh, and so forth.
3.5 Global Bans
In the event that a new card is introduced, or a game-altering bug, glitch, or other player-controllable issue arises, the Tournament Admin Team reserves the right to impose a global ban on the affected card or instance at their discretion. Any global bans will be clearly communicated to all participants.
3.6 Streaming Requirements
Player streams on Discord will be used by the tournament production team to create a live stream on the official Marvel Snap Twitch channel during the event. The official stream will have a five (5) minute delay.
All participants must have the ability and willingness to stream their matches to Discord. Players required to share their streams on Discord will be provided with a private channel that only staff members and themselves will have access to. Streams can be done from mobile devices or computers. Player streams from computers will be prioritized.
Players will share only the game screen. Players will not share screens with any overlays, camera feeds, website urls, or chats.
Players may choose to stream their games to individual accounts such as Twitch or YouTube. Players choosing to do so will accept any risk associated with “stream sniping”, “coaching”, or unsportsmanlike conduct. There is no requirement for a stream delay on personal accounts but a five (5) minute delay is encouraged.
All player streams on individual accounts must have their community chat in “emote only” mode for the duration of all Conquest Matches during a Tournament Round. Failing to have chats in emote only mode may be considered coaching. More explained in 6.1.1
4. Schedule
The Marvel Snap: Golden Gauntlet will take place on the following date & time:
- Open Swiss Stage
- Saturday, May 24th, 2025 @ 11:00 AM CT
- Bracket Stage (estimated)
- Saturday, May 24th, 2025 @ 6:30 PM CT
5. Tournament Prize Structure
Players that advance to the Bracket Stage will be awarded the following prizes:

6. Game Preparations
Players are expected to resolve any technical or logistical issues before the start of their matches. Each participant is responsible for the functionality of their own devices and internet connection. Additionally, all decks must be created and finalized prior to the day of the event.
6.1 Deck Selection Error
If a player accidentally selects a deck different from the one submitted for the tournament when joining a game, they may immediately concede the match—provided no cards have been revealed by the opponent other than the beginning of game animations. Players will call a judge into their Topdeck match chat and explain the mistake. The Judge will issue a Warning and make a record of the penalty. The judge will then ask players to restart the match with the correct deck. This penalty will be upgraded to a Match Loss each time after the Warning is issued. Players are strongly encouraged to delete all decks other than their submitted tournament deck to prevent a Deck Selection Error.
Once the game has progressed past the first turn of the first game in a Conquest Match, Judges will not restart a match due to a Deck Selection Error. If a player realizes they are using the wrong deck after the first turn has started, players will call a judge into their Topdeck match chat and explain the mistake. The Judge will issue a Match Loss and make a record of the penalty.
Players who use an incorrect deck and do not voluntarily concede may face disqualification from the tournament.
6.2 Opponent Using Unsubmitted Deck
Players will be the primary source for deck validation throughout the event. If you believe your opponent is using a deck that differs from their submitted deck list please take a screenshot(s) of the game with the suspected card(s) shown and continue playing your match to completion. Then record the results of the match accurately as if there is no violation. After completion of your match please call a judge into your chat and ask to be contacted on the Golden Gauntlet Discord server. You will then present them with the images you have and a ruling will be made. If it can be determined that the opponent could not have randomly generated the card(s) within the game you will receive a maximum point win.
7. Code of Conduct
By registering for the event, all players agree to adhere to the Code of Conduct and are expected to uphold fair play, competitive integrity, and good sportsmanship at all times. Any of the actions listed below will be considered violations of the Code of Conduct and may result in disqualification from the event.
7.1 Coaching for an advantage
Players are strictly prohibited from receiving active coaching during event matches or gameplay sessions. This includes any form of outside guidance, real-time instructions, or communication intended to influence gameplay or provide a competitive advantage.
Any player found using coaching to gain an advantage may be disqualified.
Even if coaching is received unintentionally, players may still face penalties.
7.2 Hacking
Hacking is defined as any unauthorized modification of the Marvel Snap game client by a player or by anyone acting on their behalf.
7.3 Cheating
Players must compete to the best of their ability at all times and may not break the Official Rules or omit information from Tournament officials in order to try to or gain an advantage. Any form of cheating will not be tolerated. Cheating includes, but is not limited to:
- Stream sniping or ghosting, or any general attempt by a player to spectate their own match or get information from another person spectating the match.
- Providing or seeking match advice from another person during a match except with respect to team tournaments that explicitly allow team communication; provided that any attempt to obtain extra information from a teammate that would not otherwise have been available to such person via the game client or Tournament-authorized team communication tools shall be considered a violation of this section, including any sharing of one teammate’s game client screen with the other teammate; provided, further, this section shall not apply to press obligations.
- Any attempt to modify the Game client, play on an unofficial Game client, or play with software or hardware that grants extra information not normally provided by the game client. Players may be required to install software on their computers for the duration of the Tournament which is specially designed to detect cheating. Some third party software programs are not considered cheating. They include:
- VOIP solutions such as Discord or Skype;
- Keyboard or other equipment drivers and software;
- For online Tournaments only, Deck Trackers which meet all of the requirements described herein; and
- Any third party software specifically installed by the Tournament organizers to facilitate Tournament play.
- Impersonating another player in a Tournament, playing under a false name.
- Attempting to damage or alter equipment to trigger a delay of the Tournament or gain any other advantage.
- Exploiting or intentionally using any in-game bug to seek an advantage.
- Influencing or manipulating a Tournament game or match so that the outcome is determined by anything other than its merits. Exploiting is defined as intentionally using any in-game bug to seek an advantage. Penalties for exploiting will be at the sole determination of the Administration.
- Collusion, match fixing, or any other action to intentionally alter, or attempt to alter, the results of any game or match, including losing a game or match with another player in order to advance one or the other’s rank or standing;
- Attempts to interfere with or degrade another player’s connection to the game service through Distributed Denial of Service (DDoS) or any other means.
- Lying to or omitting information from Tournament officials.
7.4 Illegal Conduct
Participants must comply with all applicable laws at all times. A Participant shall not engage in any activity or practice which (i) brings Participant into public disrepute, scandal or ridicule, or shocks or offends a portion or group of the public, or derogates from Participant’s public image, or (ii) is, or could reasonably be expected to be, detrimental to the image or reputation of, or result in public criticism of or reflect badly on the Administration, or any of their respective representatives, the Tournament. For the avoidance of doubt, Participant’s affiliation with individuals, entities or brands that are detrimental to the image or reputation of the Administration or the Tournament, as determined by the Administration, will be deemed as a violation of this provision and these Official Rules. A non-exhaustive list of such types of misconduct are as follows:
- Actual or threatened violence toward any person, including other Participants;
- Sexual assault and other types of sexual offenses;
- Illegal possession or distribution of a weapon;
- Possession, use or distribution of performance-enhancing substances;
- Conduct that poses a danger to the safety of another person;
- Theft and other property crimes; and
- Crimes involving dishonesty.
7.5 Anti-Harassment
Administration is committed to providing a competitive environment that is free of harassment and discrimination. Participants are prohibited from engaging in any form of harassment or discrimination (either in-game or outside the game), including without limitation that which is based on race, color, religion, gender, national origin, age, disability, sexual orientation, gender identity, or any other class or characteristic.
7.6 Sponsorship Restrictions
Participants may acquire individual sponsorships in connection with their participation in the Tournament, but the Administration reserves the right to restrict sponsor involvement in Tournament activities, including requiring participants on-site at in-person events to, among other things, cover, obscure, or replace articles of clothing that display sponsor assets in violation of this section. All sponsorship activity conducted in connection with Tournament activities are subject to the prior approval of the Administration. Participants may inquire as to whether a sponsor is permissible by contacting the Administration.
Participants are prohibited from using any of the following: live or on-demand stream of a Tournament, any Game images, Game-related logos, artwork, animations; or other protected intellectual property owned or controlled by SECOND DINNER (collectively, “Game Materials”) in connection with any third party sponsorships, advertising, promotions, or marketing.
The Administration reserves the right to have Tournament-wide exclusive sponsorships on a global basis or specific to a particular region or territory. The Administration may from time to time designate certain product or service categories as “reserved” whereby Participants will be prohibited from featuring sponsorships in such “reserved” categories in connection with their participation in the Tournament.
Sponsors in the following categories are expressly prohibited from being featured, displayed, or otherwise promoted by any Participant in connection with the Tournament:
- Any person or entity that offers products or services that SECOND DINNER determines are detrimental to the business of SECOND DINNER or that give one player an unfair advantage over another player, including hacking, gold selling services, account sellers and key sellers.
- Games or other products or services from entities that compete directly with SECOND DINNER
- Account selling, sharing or trading websites
- Drugs (whether legal or illegal) and any products used to consume drugs
- Tobacco and vaping products
- Cannabis and any products used to consume cannabis
- Pornography, sexual or adult oriented products or services
- Gambling (whether legal or illegal)
- Firearms / weapons, or related products or services
- Political candidates or ballot initiatives
7.7 Penalties
Any participant found to have engaged in, or attempted to engage in conduct that the Tournament Admin Team, at its sole and absolute discretion, determines to be a violation of the Code of Conduct or any guidelines outlined in this Rulebook will be subject to penalty.
7.7.1 Penalty Types
The Tournament Admin Team reserves the right to impose any of the following penalties without limitation:
- Warning
- Match Loss
- Disqualification from the Event
7.7.2 Appeals to the Head Judge
If a player disagrees with a judge’s ruling, they may appeal the ruling to the Head Judge. Players may not appeal before the full ruling is made by the responding floor judge. Rulings made by the Head Judge are final.
7.7.3 Escalation and Recurrence
Repeated or severe violations may result in increased penalties, including disqualification from all future Marvel SNAP events. Penalties are not required to be applied in a progressive sequence and may be issued based on the seriousness of the offense.
7.7.4 Prize Forfeiture
Players may be disqualified at any time prior to the issuance of prize payouts. If a disqualified player was eligible for a prize, they will forfeit any associated compensation.
8. Non-Disparagement
Participants have the right to express their opinions in a professional and sportsmanlike manner; provided, however, that Participants shall not make public statements that call into question the integrity or competence of match referees or the Administration.
Participants shall not at any time make, post, publish or communicate to any person or entity or in any public forum any false, defamatory, libelous, or slanderous remarks, comments or statements concerning the Administration, the Game, any of their respective representatives, or the Tournament.
9. Limitations of Liability and General Release
As a condition to being allowed to participate in the Tournament and to the greatest extent permitted by the applicable laws and regulations, each Participant agrees to release and hold harmless SECOND DINNER and its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees and other representatives (the “Released Parties”) from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with their participation in the Tournament or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. In no event shall Participants have, and Participants hereby irrevocably waive, any right to sue the Released Parties or to seek or obtain injunctive or other equitable relief in connection with the Tournament or the production, distribution, exhibition or other exploitation, or the advertising, promoting or publicizing of the Tournament or the Tournament.
IN NO EVENT WILL SECOND DINNER OR ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR OTHER REPRESENTATIVES BE LIABLE UNDER THESE LEAGUE RULES TO ANY PARTICIPANT, OR ANY PERSON OR ENTITY CLAIMING RIGHTS DERIVED FROM ANY PARTICIPANT, FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, AND/OR DAMAGES FOR LOSS OF DATA, REVENUE, PRIZES OR PROFIT, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE ADMINISTRATION, SECOND DINNER OR ANY OF THEIR AFFILIATES OR REPRESENTATIVES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the fullest extent permitted by applicable law, each Participant acknowledges that he/she is aware of the risks, dangers and hazards associated with esports competitions and he/she freely accepts and fully assumes all such risks, dangers and hazards and the possibility of personal injury, death, property damage or loss resulting from his/her participation in such activities.
10. Grant of Rights
By agreeing to these Official Rules and participating in the Tournament, each Participant hereby grants to SECOND DINNER and its parents, subsidiaries and affiliates a perpetual, royalty-free, fully paid-up, worldwide, right and license (with the right to grant sublicenses) to copy, display, distribute, edit, host, store and otherwise use the Participant’s name, logos, trade or service marks, copyrighted material, nickname, logo, initials, likeness, image, photograph, animation, avatar, autograph, voice, video or film portrayal, public persona, social media profile and posts, game play data and statistics, biographical information, backstory and any streams of Marvel Snap or any other video game by SECOND DINNER in which the Participant participates (“Participant Materials”), and create derivative works thereof, in any and all present and future media whether now known or hereafter created, on any and all platforms and via any method of delivery, on or in connection with (a) any Tournament event (whether in full or in part and whether on a live or delayed basis and all or any part of such event) and the broadcast, streaming, webcast or other distribution of any audio visual, visual and/or audio coverage of any of the foregoing; (b) the marketing and promotion of the Tournament, the Tournament, and the Game in general; (c) (i) the exploitation of media rights, (ii) the creation and sale of in-game or digital merchandise, and (iii) any group licensing or other agreements with third parties that are negotiated by SECOND DINNER; and/or (d) the creation, distribution, promotion and sale of hats, shirts or other apparel, footwear, gaming gear or peripherals, novelties, souvenirs, toys, collectibles and any and all other tangible goods or products, including the sleeves, jackets and packaging for such goods or products, and the other products and services of SECOND DINNER. The products, services, media and materials created by exercise of any of the foregoing licenses or rights in clauses (a) through (d) are referred to herein as the “Licensed Materials.”.
The grant of rights and licenses in this section includes, but is not limited to, the perpetual, royalty-free, fully paid-up, worldwide right and license (but not the obligation) of SECOND DINNER (and its sublicensees) to copy, display, distribute, edit, host, store and otherwise use the Participant Materials and the Licensed Materials, and create derivative works thereof, on or in connection with SECOND DINNER’s (or its sublicensees’): (a) websites and applications, together with those of its permitted streaming and broadcast partners; (b) social media postings; (c) print and online advertising and content; (d) newspaper and magazine advertising and content; (e) online advertising and content, including banners, leaderboards and skyscrapers; (f) outdoor and indoor billboards, posters, signs and displays; (g) product catalogues, point-of-sale materials, hang tags, product packaging and instruction manuals; (h) press releases, newsletters and e-alerts; (i) television; and (j) any other advertising or promotional materials developed by or for SECOND DINNER (or its sublicensees) for the Tournament or the Game from time to time (the foregoing, the “Advertising and Commercial Materials”).
SECOND DINNER is the sole owner of all suggestions, comments and other feedback that a Participant may provide to SECOND DINNER relating in any way to (a) the Tournament, the Tournament, Game, and (b) all improvements or enhancements to the Tournament or the Game, or the business of SECOND DINNER resulting from any such suggestions, comments and feedback; data and statistics relating to a Participant’s play of the Game, and all feeds and data streams of such data and statistics; and all intellectual property rights in each of the foregoing existing anywhere in the world (“Tournament Materials”).
If a Participant at any time creates, develops or invents any Tournament Materials, the parties acknowledge and agree that all copyrightable Tournament Materials, and all elements, portions and derivative works thereof, shall be created for SECOND DINNER as “works made for hire” and that all copyrights in and to such Tournament Materials, and in all elements, portions and derivative works thereof, shall vest automatically in, and belong to, SECOND DINNER. If, however, by operation of law or otherwise, such Tournament Materials or any element, portion and derivative works thereof are not deemed a “work made for hire” or for any reason do not automatically vest in SECOND DINNER and/or if there are any patents, trademarks, know-how or other intellectual property rights in the works that do not automatically accrue to SECOND DINNER under the preceding sentence, the Participant hereby assigns (and agrees at the time of creation to assign) to SECOND DINNER and/or its designee, in each case for no additional consideration, by way of present assignment of future copyright and other intellectual property rights, all worldwide rights, title and interest, including all copyright and other patent, trademark and other intellectual property rights worldwide, in and to all Tournament Materials (and in all elements, portions and derivative works thereof) and agrees to take, at the expense of SECOND DINNER or its designees, any and all such other actions reasonably deemed appropriate by SECOND DINNER or its designee in furtherance of such assignment, including, without limitation, the execution and delivery to SECOND DINNER or its designee of any further instruments of assignment reasonably requested by SECOND DINNER or its designee.
By agreeing to these Official Rules, each Participant hereby waives, and agrees not to assert, any (a) rights of prior review and/or approval of any of the Licensed Materials or Advertising or Commercial Materials, and (b) moral or other equivalent rights (if any) to which he/she is or may become entitled under applicable law in relation to the Licensed Materials, Advertising and Commercial Materials, or to his/her participation in the Tournament or SECOND DINNER events. Nothing in these Official Rules requires SECOND DINNER to make use of any of the rights or licenses granted herein.
11. Collection of Personal Data
The Administration will collect, store and use information collected in connection with the Tournament (including information collected at live events) in accordance with SECOND DINNER privacy policy available at [https://seconddinner.com/privacy-policy/] (“Privacy Policy”). By accepting these Official Rules, each Player also agrees to the Privacy Policy.
12. Dispute Resolution & Class action Waiver
CLASS ACTION WAIVER AND REPRESENTATIVE-TYPE ACTION WAIVER. TO THE FULLEST EXTENT ALLOWED BY LAW, NEITHER YOU NOR SECOND DINNER SHALL BE ENTITLED TO PARTICIPATE IN ANY PAST, PENDING, OR FUTURE CLASS OR OTHER REPRESENTATIVE-TYPE ACTIONS, TO CONSOLIDATE, JOIN OR COORDINATE DISPUTES BY OR AGAINST OTHER INDIVIDUALS OR ENTITIES, OR PARTICIPATE IN OR LITIGATE ANY DISPUTE IN A REPRESENTATIVE CAPACITY (DEFINED BROADLY), INCLUDING AS A REPRESENTATIVE MEMBER OF A CLASS OR IN A PRIVATE ATTORNEY GENERAL CAPACITY, OR OTHERWISE SEEK TO RECOVER FOR LOSSES INCURRED BY A THIRD PARTY IN ANY ACTION PURSUANT TO ANY STATUTE THAT ALLOWS RECOVERY ON BEHALF OF, FOR THE BENEFIT OF, OR OF AMOUNTS LOST OR SPENT BY OTHER INDIVIDUALS IN CONNECTION WITH ANY DISPUTE. YOU AND SECOND DINNER ARE EACH EXPRESSLY AND UNCONDITIONALLY WAIVING SUCH RESPECTIVE RIGHTS, INCLUDING THE RIGHTS TO A TRIAL BY JURY. To the extent applicable law does not allow the waiver of certain claims, but permits those claims to be arbitrated, then such claims shall be resolved in arbitration. To the extent allowed by law, the arbitrator shall be empowered to grant whatever relief would be available in a court under law or in equity, including injunctive relief.
Binding Arbitration for Arbitration Disputes. Any Dispute, claim or controversy that SECOND DINNER may have against a Participant or that a Participant might have against SECOND DINNER, and any dispute, claim or controversy arising out of or relating to the Tournament, the Tournament or these Official Rules or the validity thereof, including the determination of the scope or applicability of these rules to arbitrate, and that is not otherwise subject to SECOND DINNER’s final, binding authority or otherwise subject to arbitration under separate written agreements entered into with SECOND DINNER (“Dispute”) shall be subject to these BINDING ARBITRATION AND CLASS ACTION AND REPRESENTATION-TYPE WAIVER provisions regardless of whether the Dispute is based in contract, statute, regulation, ordinance, tort (including fraud, misrepresentation, fraudulent inducement, and negligence), or any other legal or equitable theory. This includes claims or requests for relief that accrued before we agreed to this agreement. Subject to the exceptions below, you and we understand that there is no judge or jury in arbitration and that court review of an arbitration award is limited. The parties waive their rights to a jury trial and to have any Dispute resolved in court.
Informal Dispute Resolution & Notice. We agree that in the event of any Dispute, SECOND DINNER and you shall first attempt to resolve any such Dispute informally for a period no less than sixty (60) calendar days before initiating arbitration proceedings (“Informal Dispute Resolution”).
The informal Dispute resolution process shall be deemed to have begun upon the receipt of written notice from one party to the other (“Notice of Dispute”). The Notice of Dispute must include: (a) the full name and contact information of the complainant, (b) a detailed description of the claim or Dispute, including dates, (c) the specific damages or other remedy or remedies that the complainant is seeking, and (d) your SNAP ID. If SECOND DINNER has a dispute with you, we must first send a Notice of Dispute detailing the Dispute and sending it to you to the address we have on file for you (whether physical or electronic), or, if we do not have an address, via in-app notice. If you have a dispute with us, you must first send a Notice of Dispute detaining the Dispute and sending it to us at: Second Dinner Studios, Inc., 1920 Main Street, Suite 880 Irvine, CA 92614.
Arbitration Procedures.
(i) If a Dispute cannot be resolved informally through negotiations, then either party may initiate binding arbitration. The arbitration will be administered by a single arbitrator by JAMS in accordance with the JAMS Streamlined Arbitration Rules and Procedures (the “JAMS Rules”) effective as of the date of the Notice of Dispute, the current version of which are available at the JAMS website, http://www.jamsadr.com/rules-streamlined-arbitration, as modified by this Agreement. If, for any reason, JAMS is unable to provide the arbitration, then except as otherwise stated below, you or we may file the Dispute with any national arbitration company that handles consumer arbitrations following procedures that are substantially similar to the JAMS Rules.
(ii) Unless contrary to the JAMS Rules, arbitration hearings may be conducted by videoconference unless the arbitrator believes an in-person hearing is necessary. In such instances, the location of an arbitration hearing will be decided pursuant to the JAMS Rules. In an arbitration, the arbitrator shall allow dispositive motions.
(iii) You and SECOND DINNER agree to submit to Los Angeles Superior Court or the United States District Court for the Central District of California, to which the Parties hereby consent to personal and subject matter jurisdiction in order to compel arbitration, to stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator.
(iv) To the greatest and broadest extent allowed by law, the arbitrator shall determine the scope, validity, interpretation and enforceability of this arbitration agreement, including whether a Dispute is subject to arbitration. The arbitration shall be governed by the Federal Arbitration Act.
(v) Notwithstanding anything to the contrary herein, if the arbitrator may not legally adjudicate or award a particular legal or equitable claim or remedy, such claim or remedy shall be stayed until all other claims and remedies are final and the arbitration completed, after which the federal or state court may adjudicate the remaining claim or remedy. In doing so, the federal or state court is bound under the principles of claim or issue preclusion by the decision of the arbitrator.
(vi) Unless limited by the applicable arbitration rules, you will remain responsible for any additional costs you incur during the arbitration, including, but not limited to, attorney fees and expert witness expenses.
Exception – Mass Arbitration. For mass arbitrations (which are defined as 25 or more similar demands for arbitration filed against the same party or related parties by individual claimants represented by either the same law firm or law firms acting in coordination), the JAMS Mass Arbitration Procedures and Guidelines (“JAMS Mass Arbitration Rules”) shall apply. In such proceedings, the parties agree that, notwithstanding any other provisions of this Agreement, the Process Administrator (as described in the JAMS Mass Arbitration Rules) and the arbitrators shall have the authority to implement the procedures set forth in the JAMS Mass Arbitration Rules, including the authority to batch together individual arbitration demands into a single coordinated proceeding. All provisions of this Section 11 that are not in conflict with the JAMS Mass Arbitration Rules shall continue to apply. If this specific provision is found to be unenforceable, then the Dispute shall be litigated in Los Angeles Superior Court or the United States District Court for the Central District of California.
Exception – Litigation of Intellectual Property Claims and Small Claims Court Claims.
(i) Notwithstanding the foregoing, each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, CFAA, or other intellectual property rights (an “Intellectual Property Action”), and each party reserves the right to bring an action in any court of competent jurisdiction to stop and/or seek compensation for the intentional or willful misuse or abuse of their intellectual property.
(ii) Either party may also seek relief in a small claims court for any individual disputes or claims within the scope of that court’s jurisdiction. If an arbitration is filed, before the arbitrator is formally appointed, either party can send written notice to the opposing party and the arbitration provider that it wants the case decided by a small claims court, after which the arbitration provider shall lose jurisdiction and close the case. Such claims are subject to the jurisdiction of in Los Angeles Superior Court or the United States District Court for the Central District of California.
Severability: If any provision of this arbitration agreement is deemed to be invalid, unenforceable or illegal, then such provision shall be severed (and, to the extent permitted by law, considered modified so that it is valid and enforceable) and the balance of this arbitration agreement shall remain in effect.
RIGHT TO OPT-OUT. Notwithstanding the above, you and SECOND DINNER may opt out of the arbitration procedures described above. If you do so, neither you nor SECOND DINNER can force the other to arbitrate. To opt-out, you must PROVIDE SECOND DINNER WRITTEN NOTICE OF YOUR DESIRE TO OPT OUT OF THESE ARBITRATION PROCEDURES WITHIN 30 DAYS FROM THE DATE THAT YOU ACCEPTED THESE OFFICIAL RULES (the “Arbitration Opt-Out Notice”). The Arbitration Opt-Out Notice must include your name and address, your in-game username and the email address you used to set up your in-game account (if you have one), and an unequivocal statement that you wish not to resolve Disputes with SECOND DINNER through arbitration. You must send your opt-out written notice via U.S. Mail, or by any available nationally recognized delivery service (e.g., UPS, Federal Express, etc.) to Second Dinner Studios, Inc., 1920 Main Street, Suite 880 Irvine, CA 92614.
If you do not provide SECOND DINNER with an Arbitration Opt-Out Notice within 30 days from the date that you first consent to this arbitration agreement, you will be deemed to have knowingly and intentionally waived your right to opt out.
13. Governing Law
Any Dispute, including the rights and responsibilities of the parties, and all other disputes between the parties, regardless of whether based in contract, statute, regulation, ordinance, tort (including fraud, misrepresentation, fraudulent inducement, and negligence), or any other legal or equitable theory, and shall be governed by, and enforced in accordance with, the laws of the State of California without regard to or application of conflict of law.
14. Marvel & The Walt Disney Company
As a condition to being allowed to participate in the Tournament and to the greatest extent permitted by the applicable laws and regulations, each Participant agrees to release and hold harmless MARVEL AND/OR THE WALT DISNEY COMPANY and its parents, subsidiaries, and affiliates, and each of their respective officers, directors, employees and other representatives (the “Released Parties”) from any liability whatsoever, and waive any and all causes of action, related to any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with their participation in the Tournament or delivery, misdelivery, acceptance, possession, use of or inability to use any prize (including, without limitation, claims, costs, injuries, losses and damages related to personal injuries, death, damage to or destruction of property, rights of publicity or privacy, defamation or portrayal in a false light, whether intentional or unintentional), whether under a theory of contract, tort (including negligence), warranty or other theory. In no event shall Participants have, and Participants hereby irrevocably waive, any right to sue the Released Parties or to seek or obtain injunctive or other equitable relief in connection with the Tournament or the production, distribution, exhibition or other exploitation, or the advertising, promoting or publicizing of the Tournament or the Tournament.
IN NO EVENT WILL MARVEL AND/OR THE WALT DISNEY COMPANY OR ANY OF ITS PARENTS, SUBSIDIARIES, AFFILIATES OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES OR OTHER REPRESENTATIVES BE LIABLE UNDER THESE LEAGUE RULES TO ANY PARTICIPANT, OR ANY PERSON OR ENTITY CLAIMING RIGHTS DERIVED FROM ANY PARTICIPANT, FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL OR PUNITIVE DAMAGES, AND/OR DAMAGES FOR LOSS OF DATA, REVENUE, PRIZES OR PROFIT, WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER OR NOT THE ADMINISTRATION, SECOND DINNER OR ANY OF THEIR AFFILIATES OR REPRESENTATIVES WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
To the fullest extent permitted by applicable law, each Participant acknowledges that he/she is aware of the risks, dangers and hazards associated with esports competitions and he/she freely accepts and fully assumes all such risks, dangers and hazards and the possibility of personal injury, death, property damage or loss resulting from his/her participation in such activities.
Marvel and The Walt Disney Company are not sponsors, administrators, or prize providers of the Marvel Snap: Golden Gauntlet. They are in no way responsible for the administration of the event, the selection of winners, or the fulfillment of any prizes. All responsibilities related to the event and associated giveaways lie solely with the event organizers.
